Terms & Conditions
1. Introduction and Acceptance of Terms
By engaging with EagleDevs LLC ("EagleDevs") for software development services, the client ("Customer") agrees to these Terms & Conditions. These terms govern the relationship between EagleDevs and the Customer for all services provided, including software development, quality assurance (Q&A), and support.
2. Definitions
- Customer: The individual or entity contracting EagleDevs for services.
- Company: EagleDevs LLC.
- Services: Software development, Q&A, and support as outlined in project agreements.
- Deliverables: All software, code, and associated products provided by EagleDevs to the Customer.
3. Scope of Services
EagleDevs provides custom software development, Q&A, and support services. Specific project requirements, timelines, and deliverables will be outlined in individual project agreements.
4. Project Milestones and Deliverables
Project timelines generally span 2 to 3 months; however, the duration may be extended depending on product complexity, requirements, and unforeseen challenges during the project execution. EagleDevs maintains clear and continuous communication throughout the development process. Should the timeline require extension, EagleDevs will inform the Customer, and upon mutual agreement, the Customer must remain flexible with adjusted timelines.
5. Client Obligations
The Customer must provide EagleDevs with access to necessary systems, resources, and information, especially if the project involves an existing product. Any delays caused by the Customer's internal hierarchies or permission structures may impact the project timeline. EagleDevs will not be liable for project delays due to lack of timely access or resources from the Customer.
6. Fees and Payment Terms
EagleDevs operates on a fixed pricing model disclosed upfront. The Customer agrees to pay 50% of the project total cost before commencement and the remaining 50% upon delivery. If the Customer delays the final payment for more than 7 business days after approval, a penalty fee of 10% of the total project fee will be applied, along with a daily interest charge of 1% on the outstanding amount.
EagleDevs will only deliver the project with the initial requirements signed in the contract within the initial fixed price agreed by both parties. For any additional feature, or requirements in the project, a new contract will be signed and will be billed hourly.
7. Intellectual Property and Ownership
Upon full payment 50% upfront and 50% after the project delivery, EagleDevs transfers all intellectual property rights, including ownership of the software and code, to the Customer. EagleDevs retains no rights to reuse any part of the code for other projects. Please note that certain components may use third-party AI tools, which are subject to their respective licenses.
8. Confidentiality
Both EagleDevs and the Customer are required to sign a Non-Disclosure Agreement (NDA) or confidentiality agreement. Confidentiality is also a part of these Terms & Conditions. Both parties agree to maintain confidentiality during and after the project.
9. Warranties and Disclaimers
EagleDevs provides a 90-day warranty period post-delivery for bug fixes. Beyond this period, any support or fixes will incur additional charges under a new contract. EagleDevs is not liable for software issues introduced by third-party integrations in hand of the customer even during the 90-days warranty period, since the requirement was not under the initial contract and requirements signed; any support for such issues will require a separate contract and will be billed hourly.
10. Limitation of Liability
EagleDevs' liability for damages is capped at the total project fee. EagleDevs will not be liable for indirect, incidental, or consequential damages resulting from the use or misuse of the software.
11. Indemnification
The Customer agrees to indemnify and hold EagleDevs harmless against any claims, damages, liabilities, or expenses arising from misuse of the software, breach of these terms, or violation of any laws.
12. Termination and Cancellation
EagleDevs or the Customer may terminate the agreement under certain circumstances:
- Material breach of terms by either party.
- Inability to perform obligations due to force majeure events.
- Unforeseen technical or legal issues that make the project unviable.
If the Customer terminates the contract after signing and paying the initial 50%, EagleDevs will retain this payment. The Customer will not be liable for the remaining 50% if the contract is canceled after the initial payment.
After cancellation, the software, codes, or any advancements in the project/product won't be transferred to the customers, and EagleDevs won't use these advancements in other projects by protecting the customer's confidentiality agreement.
13. Force Majeure
EagleDevs is not liable for delays or failures due to events beyond its control, including natural disasters, pandemics, strikes, or other force majeure events.
14. Amendments to Terms
These Terms & Conditions may be updated occasionally, but any updates will apply only to new agreements, unless otherwise agreed upon by both parties.
15. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of the State of Delaware, USA. Any disputes arising from these terms shall be resolved in the jurisdiction of Delaware.
16. Entire Agreement
These Terms & Conditions, along with any project-specific agreements, constitute the entire agreement between EagleDevs and the Customer, superseding any prior agreements, representations, or communications.
